Artiva Axes 94% of Workforce, Weighs Strategic Alternatives After Two Patients in Phase IIa Trial Die

Artiva Biotherapeutics said it will eviscerate its workforce 94% and evaluate strategic options after two patients treated with its lead candidate in a Phase IIa trial died—though one death was unrelated to the treatment.

Artiva has ended development of the lead candidate, a non-genetically modified, allogeneic, cryopreserved NK cell therapy called AlloNK® and also called AB-101. AlloNK had been evaluated in a Phase IIa “basket” trial (NCT06991114) assessing the candidate in rheumatoid arthritis (RA), Sjögren’s Disease, idiopathic inflammatory myopathies, and systemic sclerosis in combination with rituximab—the monoclonal antibody treatment for arthritis and several forms of cancer marketed by Roche’s Genentech subsidiary and Biogen as Rituxan®.

In announcing the layoffs and strategic alternatives review, Artiva disclosed that two patients in the trial who underwent the study treatment died in Grade 5 safety events. One patient succumbed to leukoencephalopathy, a fatal neurological event, following treatment, which included protocol-specified lymphodepletion with cyclophosphamide and fludarabine.

“The investigator and an independent safety review assessed the event as likely related to fludarabine-associated neurotoxicity,” Artiva said in a statement. “Given the widespread use of fludarabine-containing lymphodepletion regimens in cell therapy development, Artiva intends to share additional details of this case in a scientific publication.”

After reporting the event to the FDA and the trial’s data safety monitoring board (DSMB), the agency requested that Artiva pause enrollment and dosing in the Phase IIa study, Artiva said. The company also paused its plans to begin enrollment and dosing in a Phase III trial of AlloNK.

The second patient experienced sudden death approximately two months after beginning study treatment. “The investigator assessed this event as unrelated to AlloNK or any other component of the study treatment regimen, and the cause of death has not been determined,” Artiva stated, adding that the second death was also reported to the FDA and DSMB.

‘Deeply saddened’

“Throughout the development of AlloNK, the safety and well-being of patients have remained our highest priority. We are deeply saddened by the deaths of two patients who participated in our clinical studies and extend our sincere condolences to their families,” Artiva CEO Fred Aslan, MD, stated. “We plan to provide findings from the first case, which was assessed as likely related to fludarabine toxicity, given its widespread use in cell therapy conditioning regimens.”

In halting development of AlloNK, Artiva also cited uneven clinical data as well as an assessment of the therapy’s risks and benefits, the likelihood of future enrollment delays, and the overall development and potential commercial outlook.

According to the company, the data “continued to demonstrate deep B cell depletion and clinical activity consistent with the Company’s previously reported findings.”

“However, longer-term follow-up did not reflect the level of durability of clinical response the Company believes is needed to support continued development,” Artiva added. “The Company will work closely with the FDA, investigators, and institutional review boards to ensure an appropriate and orderly close-out of its clinical development program, including continued safety monitoring and reporting as required.”

As a result, Artiva has canceled a presentation of AlloNK clinical data at the upcoming ACR Convergence 2026 conference, to be held November 6-11 in Orlando, FL. The company is also canceling an investor webcast it had scheduled for November 9.

“Updated clinical data may be presented at future scientific meetings depending on the outcome of the strategic alternatives process,” Artiva added.

Investors responded to Artiva’s announcement with a stock selloff that sent shares tumbling 30.5% on Tuesday, from $6.16 to $4.27 as of 2:04 p.m. ET.

Analyst downgrades

Several investment firms downgraded their ratings of Artiva stock, including Cantor Fitzgerald, TD Cowen, Needham & Co., H.C. Wainwright, and Wedbush—where David Nierengarten, PhD, managing director and a senior analyst covering small-mid cap biotech stocks, cut his firm’s rating from “Outperform” to “Neutral” and slashed its 12-month price target 90% from $40 to $4.

Artiva also retained Leerink Partners to assist in the company’s strategic review, which will entail evaluating internal options and potential strategic alternatives intended to maximize stockholder value.

Among options under review, Artiva said, include a merger, business combination, sale or licensing of assets, dissolution, and liquidation. Artiva does not plan to offer updates on the review “unless and until the Board of Directors has approved a specific course of action, the process has concluded, or the Company determines that further disclosure is appropriate or required by law.”

Artiva will also carry out a reduction of its workforce by approximately 94%. That would amount to roughly 98 of the 104 full-time employees that Artiva employed as of June 30, according to the company’s Form 10-Q quarterly report for the second quarter, filed August 6 with the U.S. Securities and Exchange Commission.

As of September 30, 2026, Artiva said in its statement, it had approximately $319.1 million in cash, cash equivalents and investments—a preliminary and unaudited figure, the company cautioned. The announcement did not quantify how much Artiva expects to spend on its planned workforce reduction.

Complete quarterly results will be included in Artiva’s Quarterly Report on Form 10-Q for the quarter ended September 30, 2026.
